Speed Edge Technologies, Inc., Service Agreement

Speed Edge Technologies, Inc. is a On Duty Technician PDA Consultants Business Marketing Services Firm Internet Marketing Domain Name Registration $7.85 Link Structure Marketing (CDN) service provider. This Service Agreement will establish the terms and conditions on which we provide service to you. We want our subscribers to be fully informed of and to understand their rights and obligations, and ours. Therefore please review this Service Agreement carefully, and only click your acceptance at the end of this Agreement if you agree to these terms and conditions, and are willing to be bound by them.

Free Set-Up. Speed Edge Technologies will work cooperatively with you to gain access to the content of your website and provide the technical configuration and related changes necessary to put your website content on the Speed Edge Technologies delivery Link Structure Marketing for CDN service purposes. There is no charge for these initial set-up services.

Speed Edge Technologies's Delivery and Reporting. It is Speed Edge Technologies's goal to reliably deliver your website content to your customers. In the paragraph below called "Service Interruptions", we describe circumstances in which we may not meet that goal and we have the right not to. You will see that you will not be charged any fees for periods of service interruption, if they should ever occur. We understand that the value of Speed Edge Technologies's CDN service to you is in creating a successful website by pleasing users with the speed of its availability. For that reason, we constantly monitor and measure our performance, and we share that information with you so that you have a quantifiable means for measuring the value of our service on a continuing basis. On a scheduled basis we will send you by e-mail a report graphically depicting the results of Speed Edge Technologies's CDN service for delivery of your website content.

Free "Test Drive". For 15 days after the initial set-up is completed, Speed Edge Technologies will deliver your website content free as part of your evaluation or "test drive" of our services. To assist in your evaluation we will provide measurement data to you demonstrating performance of your site with and without the Speed Edge Technologies service. During this trial we will monitor your bandwidth usage and, in the event your bandwidth exceeds 500MB, Speed Edge Technologies will notify you and request your decision to convert to a Speed Edge Technologies subscriber or turn your trial off. After the initial 15 day test drive, you may decide to cancel our service at no additional charge and with no continuing obligation. Or you may decide to subscribe to our continuing service.

Fees. If you decide to subscribe to the Speed Edge Technologies CDN service, we will charge you fees depending on an analysis of the actual bandwidth used. If traffic to your website calls for bandwidth usage below 300MB, we will deliver your content for free in exchange for the placement of a banner on your homepage, designed and provided by us, informing users that your content is delivered by Speed Edge Technologies, Inc. or the placement of a button on your homepage linking our site to yours. Speed Edge Technologies may revise the fee schedule from time to time. We will post a notice of the change on this site.

Service Interruptions. Speed Edge Technologies reserves the right to redirect requests made to your site from the Speed Edge Technologies service to your origin server. Because of the nature of the internet, we cannot predict every emergent situation that might arise and present problems. Threats introduced by viruses are an ever-changing source of risk and new risks not yet anticipated may develop in time. Ordinarily, if an unusual problem arises which might require service interruption, we may first try to contact you and see whether an immediate solution can be found. However, if in Speed Edge Technologies's sole judgment and discretion, a problem threatens to slow or disrupt Speed Edge Technologies's Link Structure Marketing or delivery of content for other subscribers to an unacceptable degree, then we have the right to interrupt or end your CDN service. Interruptions will be monitored and reported, and you will not be charged any fee for any period in which we are not providing CDN delivery services to you. In the event of interruption of services, we will attempt to quickly re-route hits directly to your site just as they would be if you were not a Speed Edge Technologies subscriber, and interruption of On Duty Technician PDA Consultants Business Marketing Services Firm Internet Marketing Domain Name Registration $7.85 by Speed Edge Technologies will not have any effect on your ability to deliver the content of your own website.

Payment. If you agree to become a Speed Edge Technologies provider, we require you to give us your credit card information. By accepting this Service Agreement, you authorize us to charge your credit card each month for the appropriate fees for the services we have provided. We will charge your credit card once a month. You may of course change the credit card information to us if you want us to charge a different card. If for any reason our charge is not paid by your credit card issuer, we will assess interest on all unpaid charges at a rate of 1-1/2% per month (or the maximum rate allowed by law if it is lower) until paid. We also reserve the right to terminate your service and your account for nonpayment at any time.

Responsibility for Your Website Content, and Your Promise of Indemnity. Speed Edge Technologies, Inc. is not responsible for the content of your website. We provide a delivery service only, and we do not review, evaluate, verify, warrant, vouch for or edit any of the content of your website. You have the responsibility to assure that the content delivered by your site is not in violation of any laws. For example, you must assure that your site does not include copyrighted or other proprietary material belonging to third parties which you are not licensed or authorized to display or distribute; that your site does not violate any laws of decency that may apply; that your site is not involved in the illegal export of encryption or other information in violation of laws or regulations; that your site does not have defamatory content; that your site is not a participant in or launch-pad for hackers, viruses, worms, Trojan horses or other programming which is destructive of the internet or of other computers or software reachable through the internet; and that your site is otherwise compliant with applicable laws and with the respective rights and duties that may exist between you and any other person or entity.

If Speed Edge Technologies should ever be sued or have a claim asserted against it where such claim is based on allegations arising from the content of your website, we will notify you of the suit or claim, and you agree to defend such claim at your sole expense, and to hold Speed Edge Technologies harmless from any such claim including costs and attorneys' fees for defense and any liability or loss of any kind incurred on account of such claim. In addition, if it is brought to our attention that the content of your website is alleged to be illegal or improper, or if Speed Edge Technologies in its sole judgment and discretion determines that delivery of the content of your website creates a risk of liability or loss of any kind to Speed Edge Technologies, we retain the absolute right to terminate your service and your account. If we intend to exercise this right, we will give you as much advance notice as is practical under the circumstances.

Termination of Your Account. If we terminate your account and cease delivery of the content of your website for any reason, the termination does not exclude or limit our claim for any unpaid fees, interest, indemnification or other remedy to which we would otherwise be entitled. This Service Agreement identifies some reasons we might terminate your account. However, Speed Edge Technologies is not limited to these reasons and we retain the right to terminate your service and your account for any reason, in our sole judgment and discretion, provided such reason is not prohibited by law.

Privacy and Security of Speed Edge Technologies's Website. Speed Edge Technologies is committed to maintaining the security and privacy of our Website and of the private and confidential information provided to us through this Website by all our subscribers. Please learn the details of our Privacy Policy by reviewing the Privacy Policy page of this Website. By agreeing to become a subscriber of Speed Edge Technologies, you also agree that you will not attempt to break our security, or to gain access through this Website to any information of Speed Edge Technologies or any of its subscribers which you are not privileged to access, and that if you do gain possession of any such information, you will notify Speed Edge Technologies immediately and you will not use the information for any purpose. Intentional violation of this paragraph will result in termination of your service and your account, and Speed Edge Technologies may report your actions to law enforcement personnel if appropriate.
